REGISTERED USER AGREEMENT

By choosing to use the Project Adventure Membership Site (the "Service"), you are agreeing to abide by all of the terms and conditions of this Agreement between you and Project Adventure ("PA") set forth below:

1. SERVICE CONTENT

1.1 The contents of the Service are intended for your personal, noncommercial use. All material published on the Service (the "Content") is protected by copyright under the laws of the United States, and elsewhere in the world as provided by applicable laws and treaties. As a registered user of the service, you are obligated to abide by all copyright notice, information and restrictions posted on the Service.

1.2 Portions of the Content appearing on the site are furnished by third parties, including registered users. PA has the right, which it may or may not exercise, to review, edit or delete any such material. NOTWITHSTANDING THE ABOVE, PA EXPRESSLY DISCLAIMS ANY RESPONSIBILTY OR LIABILITY FOR ANY MATERIAL POSTED BY THIRD PARTIES ON OR COMMUNICATED BY THIRD PARTIES THROUGH THE SERVICE, INCLUDING WITHOUT LIMITATION, ANY LIABILITY FOR ANY CLAIMS, DAMAGES OR LOSSES RESULTING FROM THE USE THEREOF.

1.3 You may download or copy the Content and other downloadable items displayed on the Service for personal use only, provided that you maintain all copyright and other notices contained therein. You may not modify, publish, transit, participate in the transfer or sale of, reproduce (except as provided in this section 1.3), create new works from, distribute, perform, display, or in any way exploit, any of the Content in whole or in part.

2. REGISTERED USER SUBMISSIONS

2.1 Portions of the Service provide registered users with an opportunity to exchange ideas and information. While using the Service, you may not post, transmit or otherwise distribute any material which may be unlawful, obscene, defamatory, threatening, abusive, infringing on any copyright or other right of others, or damaging to any software or hardware. PA has the right to immediately and permanently suspend access to all or part of the Service to any user who, as determined in PA's sole discretion, has violated any of these conditions.

2.2 The Service is provided for the non-commercial use of the registered users. You shall not, without the express prior approval of PA, use the Service to distribute or otherwise publish any material containing any solicitation of funds, advertising or solicitation for goods and services.

2.3 By submitting, sending or otherwise making available information or other material on or through the Service (including in the form of postings in the Forum or Activities sections of the Service), you grant to PA the royalty-free, unrestricted, worldwide, perpetual, irrevocable, non-exclusive and fully sub-licensable right and license to use, modify, adapt, publish, translate, create derivative works from, distribute, perform and display such information or other material (in whole or part) worldwide and/or to incorporate it in other works in any form, format or media now known or later developed. You also warrant that such information or other material is original to you and that you have all necessary rights to submit, send or otherwise make available such information or other material and to grant such right and license to PA, and that any "moral rights" you may have in such materials have been waived.

3. LINKS TO OTHER SITES

3.1 The Service may contain links to other related World Wide Web Internet sites. PA is not responsible or liable for the availability of these third party resources, or for their content, even if you access them through the Service. You should direct any concerns regarding any external link to the site administrator or Webmaster of such site.

4. REGISTRATIONS AND SECURITY

4.1 As part of the registration process, you will provide a user name and select a password. You will also provide certain registration information, all of which must be accurate and current. You shall be responsible for maintaining the confidentiality of your password. You agree that you will not use the user name or password of a third party with the intent of impersonating that party and/or without that party's permission. If you suspect or know of any breach of security with respect to your name and password, it is your responsibility to notify PA of such breach of security.

4.2 You must be 13 years or older to become a registered user of the Service.

4.3 You are responsible for all usage or activity in your account, including any use of the account by any third party authorized by you to use your user name and password. Any fraudulent, abusive, or otherwise illegal activity may, in PA's sole discretion, be grounds for termination of your account and if appropriate for referral to relevant law enforcement agencies.

5. PRIVACY AND USE OF INFORMATION PROVIDED DURING REGISTRATION

5.1 PA will not share personally identifiable information about you, including your name, address, phone number and email address, with unaffiliated third parties or for any purpose except the limited purposes set forth below, without your prior consent.

5.2 PA shall have the right to use the information you provide on the registration form, including without limitation your email address, to provide you with information about the Service, including any changes or additions being made, and about PA's products and services generally. PA also reserves the right to use and disclose information about your usage and demographics for market research purposes, provided that PA will not reveal your personal identity in connection with the disclosure of such information.

5.3 You should be aware that personal information — such as your name and email address — that you voluntarily disclose in the Forum, in the Activities area, or in any other postings you make through the Service in areas that are accessible to other users could be collected and disclosed by others. PA has no responsibility for such collection or disclosure.

6. WARRANTY DISCLAIMER

6.1 PA MAKES NO REPRESENTATIONS OR WARRANTIES WITH RESPECT TO THE SERVICE OR ITS CONTENTS (INCLUDING WITHOUT LIMITATION MATERIAL COMMUNICATED BY THIRD PARTIES), WHICH ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. PA EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSED, WITH RESPECT TO THE SERVICE AND THE CONTENT. PA MAKES NO REPRESENTATION THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR FREE, THAT DEFECTS WILL BE CORRECTED OR THAT THE CONTENT AND SERVICE OR THE SERVER THAT MAKES THEM AVAILABLE ARE FREE FROM VIRUSES, WORMS OR OTHER HARMFUL COMPONENTS. PA ALSO MAKES NO REPRESENTATIONS OR WARRANTIES AS TO WHETHER THE CONTENT IS ACCURATE, COMPLETE OR CURRENT. IN NO EVENT SHALL PA, ITS EMPLOYEES OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES INCLUDING BUT NOT LIMITED TO LOSS OF ANTICIPATED PROFITS, BENEFITS, USE OR DATA RESULTING FROM THE USE OF THE SERVICE.

7. CHANGES IN SERVICE AND REGISTERED USER AGREEMENT

7.1 PA may change, add or remove portions of this Agreement at any time, but if it does so, it will post such changes on the Service, or send them to you via e-mail or postal mail. IF ANY OF THESE CHANGES ARE UNACCEPTABLE TO YOU, YOU MAY CANCEL YOUR REGISTRATION AS A USER OF THE SERVICE BY SENDING AN EMAIL TO: RCOLLINSON@PA.ORG. YOUR CONTINUED USE OF THE SERVICE NOW, OR FOLLOWING THE POSTING OF ANY NOTICE OF ANY CHANGES IN THIS AGREEMENT, WILL INDICATE ACCEPTANCE BY YOU OF SUCH CHANGES OR MODIFICATIONS.

7.2 PA may change, suspend or discontinue any aspect of the Service at any time, including without limitation the availability of any Service feature, database or content. PA may also impose limits on certain features and services or restrict your access to parts or all of the Service without notice or liability.

8. TERMINATION

8.1 You may terminate your account at any time by sending an email to: RCOLLINSON@PA.ORG. PA may, in its sole discretion, terminate or suspend your access to all or part of the Service for any reason, including but not limited to, any breach of this Agreement.

9. JURISDICTION AND GOVERNING LAW

9.1 This Agreement has been made in and shall be construed and enforced in accordance with the laws of the Commonwealth of Massachusetts. Any action arising under this Agreement shall be brought in the federal or state courts located in Massachusetts.
